Signing of Financials

In a small Pvt. Ltd. Company, no ROC filing has been made since last 5 years. No financials were prepared and no AGM was conducted. Now to make the default good, the company wants to file the belated forms to ROC with late fees. My apprehension is that all filing shall be made with back dates assuming that eveything was done on time but no filing was made. Now the auditors are asking whether they can sign the financials with back date, as no form 20B was filed in this regard.Pl guide.

In this case most PRACTICAL thing to do is to prepare financial statements back dated and to take sign of concerned officials accordingly.

 

Recently one client came to me (director of Pvt. Co.). That Co. had not filed ROC returns for last 3 years and out of that Audit Report of one year was missing. Neither Co. nor concerned Auditor had that copy. Hence I suggested them to prepare it back dated. Then on that basis, I filed ROC return.
