Reinstatement Fees Paid to BSE

What Should be the treatment of Reinstatement fees(Relisting Fees )  paid to stock exchange in hands of Purchasing company. It is a type of Penalty .

It is to be write off in same year or to be tagged as deffered expencess or to be capatalised and further write off againist goodwill as it is paid by Purch. Company????????
