Preferential allotment of Share

Dear RBI guidlines will be applicable in case any allotment to non resident and in such case approval from RBI should be obtain if the sectoral cap exceed.SEBI guidlines are basically deals with the disclouser  in the prospectus and the provision of companies act 1956 is applicable as per the listed and unlisted requirement in case of listed company clause 49 will be applicable.
