Coverage under esi act

Sir,

My friend is associated with a Co-operative Society. They are 67 shareholder-members working for mutual benefit. There are no employees in their Society. All are shareholder-Member. Now, ESI authorities are insisting upon cover their Society under the ESI Act. Can they do it?

ESIC is applicable when some amount is "paid" to a person for performing hs duties 

if the above clause is not satisfied, submit your reply to ESIC , they will not bother again
