Can member who has obtained the COP(Member of the institute from 2007 onwards) in the month of May 2009 can be appointed as an auditor for the financial year 2008-09 for an private limited company?

Mr. Nitin 1. What If co. want to appoint new auditor in place of previous year auditor (appointed in AGM)? OR 2. The co. is new one or / and not appointed any auditor yet?
The facts of the case are, companies last AGM was held on 30th september 2008.In that AGM previous auditor was reappointed . But the auditor has not accepted and expressed his unwilling ness to act as an auditor.(in the month of october) And so far no auditor was appointed for the financial year 2008-09.Please share your views.
