service tax on debit note

Our company is paying research & advisory fee to a proprietorship firm & we are sharing these research input with a share broker with whom we have a fee sharing arrangement 50/50.

Should my company raise debit note or bill on that share broker for this sharing

& do i add service tax content in this bill.

Is this liable to TDS
