company want to raise the paid up capital so it wants issue the equity share to the existing shareholders. what are procedures to compliance with ROC.? pls suggest me.. what resolution should I pass and filling of documents with ROC.

Increase in Paid Up cap is done as per sec 61. MGT14 & SH7 HAVE to be filed. Board Resolution and Spl resolution mandatory. Stamp Duty is applicable and is embedded in the form itself.
