Can anyone please provide me a sample format of Resolution to be passed for appointment of Internal Auditor under Companies Act, 2013 ?

APPOINTMENT OF INTERNAL AUDITORS FOR THE FINANCIAL YEAR 2014-2015
“RESOLVED THAT pursuant to the provisions of Section 138 of the Companies Act, 2013 (including any statutory modification or re-enactment thereof) and the rules framed thereunder, M/s. ______________, Chartered Accountants, [FRN: 014194S] _____________________________________________, Chennai - 600 004 be and are hereby appointed as Internal Auditor of the Company to conduct internal audit of the records of the Company for the financial year 2014-15 at a remuneration to be fixed by the Board on the recommendation of the Audit Committee of the Company.
“RESOLVED FURTHER THAT Shri._______________, Managing Director, Shri. ______, Group Chief Financial Officer be and are hereby severally authorized to do all such acts, deeds, matters and things as may be necessary and expedient for the purpose of giving effect to this resolution.”
