Subject to the provisions of section 184 and 188 of the Companies Act 2013, in case of private limited Company, if all the directors are interested in any matter which needs to be passed in board meeting as resolution, then all the Directors of the Company can vote and participate at the meeting after the disclosure of interest by giving disclosure that we are do not have any objection in approving such resolution as per the exemption issued by MCA dated 5th June 2015
