For Change of name you will have to pass a special resolution. Change of articles for what reason? For implementing the name change or for some other reason? If it's for name change there is no need for a separate resolution. When the resolution for change of name is passed, it is construed to have approved necessary changes in MOA and AOA as well. The notice of the GM alongwith explanatory statement, certified copy of SR and amended MOA and AOA (incorporating new name) needs to be filed with Form 23. However if the change of articles is due to some other reason, a separate resolution may be pssed.
