can any body give a process to be followed for appointment of new director, who is not a share holder. company's capital is only 1 lac.

take a board meeting and file form DIR 12 on mca portal. attach dir2, appointment letter, proof of dispatched, acceptance letter to form. file form within 30 days of appointment to avoide additional fees

Dear Sir,

First of all apply for DIN of the person whom the company wants to appoint, after that File form DIR-12 for appointment. Attach Board resolution, DIR-2 (consent to act as director), Appointment letter in DIR-12 and file within 30 days of appointment to avoid additional fee.
