Plz solve this query.
A pvt ltd company is to appoint 2 directors. Form 32 will have to be filed within 30 days of appointment. Do we have to get DSC for the newly appointd directors for filing F-32? Aftr their appointment, 2 directors have to resign. Again F-32 will have to be filed within 30days of resignation. Do we have to get DSC for the resigning directors for filing F-32 ?
The company must be having DSC of one of the current directors. Using that appointment as well as exit of other directors can be made. You cannot use the DSC of the appointee / outgoing director for filing their own Form 32.
However if the available DSC is that of the outgoing director then first effect the appointment of directors using the outgoing director's DSC and then obtain DSC for one of the new appointee. Using this new DSC, form 32 can be filed for outgoing directors.
