I have pvt. ltd company i want to declare dividend in the company so can any body tell me the process of the dividend declaration and can i have to fill any from with concern ROC.

You will have to comply with section 205 and Companies Declaration of Dividend Rules. Basically you will have to transfer prescribed %age of profits to reserves before declaring dividend. Incase you are giving final dividend then pass the resolution in annual general meeting. No form is required to be filed with the ROC.

Dear Sir,
I have hadling some Private Limited Companies. i want to know that what is the procedures for Trasnfer of shares from First allottee to other person.
i alloteed shares in first allottee 5000 shares, but same shares allottee other persons.
i am direct transfer above shares or file form 2.

Dear Rakesh,
In my opinion, you are not required to file form 2 as u r not allotting shares u r just transferring dem. only an endorsement at the back of the shares will do...
