Dear Friend
As per Secretarial Standard 1(Secretarial Standard on Meeting of the Board of Directors 1) issued by ICSI, says that the meeting of the Board of Director may be held at any time, on any day, including public holiday, and at any place.
However the SS 1 is not mandatory to comply.

Dear Friend,
Yes, Board meeting can be conducted in Foreign Country. Secretarial Standard states that board meeting can be conducted at any place at the convenience of the Directors ..However, it is not practically feasible as certain statutory Registers like eg. Register of Contracts need to be shifted at the place where board meeitng is to be held.For which Prior approval of members in general meeting is required.

Hello Friend,
Companies Act ,1956 says only that board meeting should be held 4 times in year(Quartely once), There is no provisons for place/time , in the absence of that one can assume that Board Meeting can be hled at any place including in foreign country, but as per other provisions some Registas(Registar of contracts,etc..) can't be shift from Registed office without prior consent of the members...
So, practically its not possiable to convene the board meeting other that the registred office..

Dear All,
So far as shifting of Registers are concerned i think we can shift the Registers for the purpose of Meeting without memebers consent. As here we are not permanently shifting the registers from Register Office to other Plances. If we permanently shift the register then members consent need to be obtained.

Yes, agreed with learned members the Board meeting can be held any where whether its plane or dinner table there is no mandatory provisions in this regard. But In case of conducting Board Meeting in Foreign Country it is advisable to take prior approval of members for shifting of some Statutory Registers form home country to foreign country.

Board meeting can be held at any date, time and venue.
Dear Neha ji, i dont think that it would require any permission of the members, coz we are just taking the records at that place and then it would be back at the registered office of the company and it would be for the purpose of Board meeting.
