Articles provide proxy for quorum

The Articles of an independent private company provides that proxies can be counted for quorum for general meetings. Probably the promoters made use of section 170(1)(ii) while drafting and executing the AOA.

This AOA has been approved by ROC and now is a public document.

So, though it may sound abnormal, but proxies can be counted for quorum. ?

In any case proxies are not counted for quoum except section 187.
