MANAGEMENT
1. Management is connectivity and control, without that, there will be disjoint and disarray'.
2. Management skill is as vital as vitamin that's to transform knowledge into a productive business.
3. Manage the passage of time with courage, that will leverage the passage to upstage.
4. A good manager develops his subordinates, as parents help children develop.
5. Off the 'ice' in running the 'office' to be effective, lest, 'sycophancy' will ruin office atmos.
GOVERNANCE
1. Governance without accountability is as barren as, ones attempts to raise crops on the sandy desert.
2. Good governance is to the subjects, as Good music to the soul.
3. Good governance fine- tunes the subjects to music, but, bad governance fines the subjects to face music.
4. Corporate without governance will be grounded, as birds without feathers, that could not fly.
5. Corporate is rated by its governance, whence programs implemented and promises delivered.
6. Power empowers, control rules; together ensure governance.
7. Enact in legislatures, not on road side to ensure governance, lest, amount to enacting bed room scenes in living room.
8. Corporate without Governance is like an oration that is only a delivery without substance.
9. Development/Growth should be across spectrum to shun distress as a part body that bolts, is a 'swell', not a symptom of better heath.
10. Corporate minus governance is deserted, as riverhat art without water that cause.
11. Corporate bereft of governance gains neither 'goodwill nor brand', as flowers devoid of fragrance invite not.
12. Corporate with no governance is valueless structure, as salt without 'salinity' is useless mud.
13. Corporate with frail governance creates not excellence, as Sun without 'heat and light' could not.
14. Corporate not with 'Independent Board' is stifled as mind that's muted and retarded.
15. Corporate devoid of governance is as dead as heart, that's without beats.
16. Promise and delivery, program and implementation, are real pointers to 'weigh and rate' governance.
17. Corporate is rated by its governance, that maketh its relevance and significance.
18. Corporate and governance to be in 'concert', as 'hard and software' that work in rhythm.
19. As river by itself not water without flow of water, Corporate by itself isn't 'governance', without its 'compliance.
20. Compliance the provisions and rules of the concerned laws- Art the roots and routes of good governance.
COMMENTARY
'Management' means a job given got it done. It is managing an affair or a work entrusted. It is nothing more or less than that. Today, when corporates are spreading their wings across the globe and their activities by enlarge leaps and bounds, investors need proper assurance and transparency for adequate returns on their investment to ensure that, a mechanism is devised that's known as corporate governance. The importance of corporate governance is more felt and pronounced today aftermath corporate scandals in U.S.A in the case of Enron and World Com. There is a sea change in the industrial atmosphere over the periods more so due to technological improvements across the globe necessitating movement of man power reducing the world to global village. There is every possibility that human kingdom may settle in the other planets that may be sooner than later. Therefore, the shareholders and other stake holders spread across may need proper governance in place for taking proper investment decision.
Then, what's the difference between the two? In this women's era, whence ladies are occupying higher echelons of society and at helm of affairs, they are perhaps a little allergic to the word 'management' since it smells something masculine! They may perhaps want a word more common in gender. It's why governance is more sought after! Joke apart, 'management' means a job given got it done. It is managing an affair or a work entrusted. It is nothing more or less than that.
But, the word 'governance' is used in wider a spectrum. It includes 'management' and covers much more to deliver to the globalized environment. Governance with reference to corporates may be internal and external. 'Internal' with reference to a corporate includes maintenance of proper records; proper internal check, internal control, internal financial control, a new parlance in the new Companies Act and internal audit; and proper delegation of powers as distinct from devolution of powers. On the other hand, 'external' covers compliance of relevant laws, adhere to concerned regulatory authorities and take necessary steps to ward off any evil and adverse impact of domestic and foreign competition, cut throat or otherwise.
For good governance, proper and meaningful discussion is the gateway
"Discussion is the gateway to knowledge and information,
As it disseminates the same inter see to one and all".
'Cuss' means use of bad or foul language that pollutes and spoil the working relation. The remedy to cuss is to discuss with purpose and productive intent. Therefore, to discuss, one of the prerequisites is to abhor use of bad or foul language that is capable of littering wrong words that spin ill feelings around. For success of any discussion, the choice of proper and appropriate words is all-important and in fact, it is its persona.
In nutshell, "Discussion is the doorway way to understanding, that unknots mistrust and misunderstanding". For good governance, 'Don't say no to discussion. To ensure good management and governance, be as natural as duck in water.
Discuss issues without disgust,
Be fair and just to guest,
That creates inter see trust,
Playing a perfect host,
With words choosy and cozy most,
But, decisive on issues upmost,
Lest, will end up a ghost,
Haunting the guest to roast,
With a coat of poor host,
Evading 'decision' in miss- post,
With nothing in sight for resolution to vote,
And hence nothing worthwhile to repot.
