Last updated: 09 February 2024

The Ministry of Corporate Affairs (MCA) has taken a significant step to ease compliance burdens on Limited Liability Partnerships (LLPs) by providing relaxation in additional fees and extending the deadline for filing Form No. LLP BEN-2 and LLP Form No. 4D under the Limited Liability Partnership Act, 2008.

Background

The MCA recently introduced the Limited Liability Partnership (Significant Beneficial Owners) Rules, 2023, and the Limited Liability Partnership (Third Amendment) Rules, 2023, prescribing E-forms LLP BEN-2 and LLP Form no. 4D, respectively. These forms are essential for filing returns to the Registrar concerning declarations under section 90 of the Companies Act, 2013, and declarations of beneficial interest in contributions received by the LLP.

These forms will be available in version-3 for filing purposes starting April 15, 2024.

Impact and Importance

This decision aims to alleviate the compliance burden on LLPs during the transition period and promote timely filing of required forms. By waiving additional fees and extending the deadline, the MCA seeks to encourage LLPs to fulfill their regulatory obligations without financial penalties, ensuring smoother transitions and improved compliance rates.
