1. Managing the overall secretarial functions, ensuring compliance to companies Act SEBI / Listing Agreements and other statutory acts.
2. Preparation / Arrange and conducting Board Meetings, Committee Meetings, AGMs, Shareholders, etc as per the requirements of the Companies Act including issuing notices, preparing agenda, recording minutes of meeting and passing resolutions, filing with ROC, Stock Exchange Formalities compliances, etc.
3. Independently Filling up and Filing various Forms with respect to various corporate actions and vetting the same.
4. Responsible for maintaining Statutory Registers / records of the Company
5. Drafting of Board and Circular Resolutions & MIS Reporting.
6. Ensuring timely preparation of financial reports and necessary statements / analysis to be submitted to banks and financial institutions, (including RBI and other statutory authorities).
7. Management of Employee Stock Option Plan
8. Must have good understanding of requirements of Primary and Secondary markets.
9. Coordination with statutory auditors in respect of secretarial matters at the time of audit.
10. Address Investors grievances on time and respond quickly to queries from investors and analyst community.
