1. Interacting and negotiating with outside parties including clients and assisting sales and marketing team in negotiating the commercial terms for Design Build/EPC/Supply/Project Export
2. Giving strategic advice on direct (International tax issues/TP/PE) and indirect taxes (VAT/sales tax/excise duty/Service Tax/Custom duty/GST/SEZ) and duties for efficient and effective contract structuring and implementation
3. Drafting commercial guidelines for new business verticals
4. Assisting the procurement department in negotiating with vendors, suppliers for guarantees and warranties including liquidated damages/penalties for delay or faulty supply.
5. Oversight drafting & vetting of various types of commercial contracts (e.g. MOU, LOI, confidentiality, licensing, non-compete, technical and foreign collaborations or cooperation etc.) with the help of external or internal legal counsel
6. Familiarity with some of the contract structures like FIDIC, IChemie, DBIA and AIA
7. Working knowledge of Trade Finance (BG/LC/SBLC/Insurance bond) and Credit Insurance (like ECGC/Coface)
8. Good understanding on INCOTEMS 2000/2010 and Supply Chain Management
9. Ensure compliance with relevant laws and regulations underlying the contract under ERM, credit control and management
10. Providing legal and commercial advice to senior management on all aspects of commercial law, tax issues, insurance, risk management and on effectiveness of terms and conditions for various contracts including vetting of relevant documentation
11. Revising existing and developing new contract conditions to meet changing business requirements
CA or ICWA or Post Graduation in Contract Law with Commercial experience in reputed organization.
