As per section 153, It is mandatory to person to have DIN to be eligible for Board of director of company. If the person don't have DIN then he will be ineligible for being qualify for Board of director.
Thus as mentioned in your case, that person must have DIN.

The continuing director should have SEX as the company should file Form DIR 12 with ROC within 30 days from the date of resignation. For filing DIR 12 the director should have SAC.
The continuing director should have DSC.
