When to be filed form 22b

Please let me know when form 22b to be filed & what is the reason to file the form 22b??

Form 22B is filed pursuant to Section 187(4) c. As per said section if wherein the beneficial interest in the shares is held by someone else then registered holders, then both beneficial holder as well as ostensible owner of such share shall make declaration and file it to ROC in Form 22B within 30 days of enter of name in register of members of company.

Thus there are two holder to same shares, firstly the ostensible owner whose name appears in register of member and the secondly, the beneficial owner, whose name is not in register of members but still enjoys benefits of all corporate actions related to such shares e.g. voting, dividend etc…

Format of declaration is given in the “Companies (Declaration of Beneficial Interest in Shares) Rules, 1975” . Same is attached herewith for your kind perusal.

what ever mentioned by smriti is right but same shares is not held by 2 person. under the form 22b is declaration from the person is that his holding is a only beneficiary on behalf of the company and pay the amount to shares holder back for shares held in behalf. regards pramod
