What is the difference b/w public offer & public invitation

i wnat to know the defference between the "public offer" and "invitation to public" u/s 67(1) and 67(2) of the companies act, 1956.

Hi, yogesh shah, thanks a million for the reply you have sent.... but there exist some difference between Sec 67(1) and (2) of the companies act, 1956. otherwise they would have dealt both the topics in a single provision. Please go through the provisions, you may get some idea.
