At a recently concluded AGM of a public company , the chairman implemented the following procedure and declared resolutions approved and adopted by the general body.

The Chairman read out the proposed resolution to the General Body . He requested that it be adopted. Everybody in the hall remained silent. No show of hands was called for and there was no show of hands. The chairman declared that he took it that the resolution was passed.
Is the procedure acceptable under Section 177 ? support with case laws??????????????????

Voting by at least show of hands should have been done & its result recorded in minutes acting as an evidence to the event. Otherwise it is invalid.
