Dear Members,

Is it mandatory for an unlisted public company  to seek central government approval with respect to appointment of Manager, where the remuneration exceeds the limit prescribed under schedule XIII in the light of recent amendments by MCA? Request learned members to respond to this query at the earliest.

Recent amendments with respect to Remuneration committee are applicable to Listed Company and their subsidiary and not unlisted company. 

So, You have to file form 25C and Form 23. Special resolution also needs to be passed.
