What is the way to incorporate in the books of Trnsferee Co, for the above matter?

there are difference of oppinions here whether it should be adjusted in profit of transferor co or it should be incorporated in transferee co along with assets but according to AS-14 their should be minimum changes while incorporating both books as if they are single entity so its desirable that it should be shown under the head Mis. Expenditure
