welcome... it deals with transfer of undertakings.. if your giving shares means.. your giving your undertakings..

Agree. However, to add, Section 180 (entire) has been exempted to Private Limited Companies vide Notification dated 05.06.2016. (This may help you in case yours is private limited Company)
