21 December 2010Please tell me how a limited company can be a subscriber in the Articles of Association of a new company in which it is going to invest? Who has to sign in the subscribers column in the Articles of Association? What are all the procedures to be complied with?

The Company can not act his own, it will act through its director.
The company who is going to invest, needs to pass resolution providing authority to any of its director / official to sign on behalf of the company.
Rest of the procedures will be same.

A company can subscribe MOA and AOA through its nominee or authorised representative.
However a company directly can be a member/shareholders of the other company.
