there are 5 directors in a private company. how many should sign the certified copies of resolutions and notices of meetings. tell the relevant sections as well.

A Directors' Resolution is an official internal document for a corporation describing a decision or an action of the board of directors. Where a Directors' meeting can not be held the same matters can be authorized by a Directors' resolution that is signed by all the Directors.

as per the act any one director
as per the act, any one director or a kmp can issue any document in company's behalf under his signature.. this right is assured inherently by the act.. if any person other than these people have to issue, then then they need specific authorization from the board.. in your case, certified true copy of resolution can be issued under the signature of any one director..
my aforesaid comment holds good for notice if meetings too..
