Signing of the balancesheet , p & l , cash flow statement

Query :

1) can INDEPENDENT DIRECTOR sign the  Audited Financial Statement  ????

2) If  Whole Time Director Is Out Of Mumbai  ( but present In India ) on The date Of Board Meeting When Financial Statement Is Adopted and Approved , CAN  HE SIGN   the Audited Financial Stament  despite Of His Absence on that day ????
