I have query with regard to signing Annual Return of Listed company. I have got the CoP in September, 2011 and the AGM of the Listed company held on 17th July, 2011. Whether I can sign the Annual Return (Shedule 5). If yes how to go about it?

The Annual return is required to be filed within 60 days of AGM.
In your case, the AGM held in 17th July, 2011 and the date upto which Annual return should be filed is 15 September.
If the annual return is filed after you have got COP then you can sign.
