Dear Chital
Annual Accounts are not adopted by one or two of the director but by the Board and similar with the Directors' report, therefore any director can sign the Directors report who has been authorised by the Board to sign it, adoption is always by the Board not by the individuals. Hope it helps. Correct me if i am wrong.

ya i agree with you Deepika that the annual accounts are adopted by the board.
But if the accounts are adopted at the previous BM and signed by two Directors, Can the Additional Directors appointed in the the next BM sign the Directors Report that are being adopted after their appointment??

Only that director can sign the Directors Report who has ben authorised in this behalf, if Board has authorised any director to sign the said report then any director irrespective of the fact when he has been appointed can sign the report. Correct if i am wrong.

Agree with Ms. Deepika , but date of adoption of accounts and date of signing of Directors Report will be diifferent which is not an issue. So if there is no specific authorisation by Board to particular directors will sign the Directors Report anyone of them can sign it including additional Director appointed.
