Does in the Shorter Notice is it required to mention in the Notice that it is Shorter Notice

Upto my understanding;
It is better to mention as footnote that consent of so much of shareholders have been obtained for short notice. (100% for AGM and 95% for EGM).
But its not madatory you can normally erve the notice too and get the F22A signed by requisite number of shareholders. That is sufficient and record the same that meeting will be convened at shorter notice subject to approval of shareholder in the board meeting in which you are approving the GM notice. You should also note the same in the GM minutes that meting has been called and convened on shorter notice.

There is specific format for shorter notice in Form 22A which is required to attach along with notice for calling general meeting. In case of EGM 95% of paid-up capital approval is required and in case of AGM it will be 100%.

Hello Friends
I have to call Society's Governing Body Meeting (similar to BoardMeeting) at shorter Notice which requires prior approval of the President of the Society. Can anyone pl provide me the specimen of Notice for calling such meeting and also how should I take prior approval of the President.

As per my understanding of Section 171, the concept of sharter notice applies only to teh general meetings. As per yoou its a governing body meeting (similar to a Board meeting). and i dont think that the companies act contain any limit w r t notice convening board meetings. I think alook at the societys bye laws or the applicable society regulation would contain the provision in this regard.

Bye laws of the Society provides that meeting can be called at shorter Notice by taking prior approval of President of the Society. So, How shd I approach. Also do I have to mention in the Notice that meeting is called at shorter Notice. Pl Reply asap

Hi Preety,
i may not be able to opine on the Socities Act, but as far as my knowledge of The Maharashtra Co-operative Societies Act, 1960 there is no such provision wherein a shorter notice has to be given to conduct a governing body meeting. Further the concept of shorter notice comes only when thereis a members meeting (General / Special). A meeting of the governing body is similar to that of a borad meeting. so the question of shorter consent need not arise. But since your bue-laws contains certain provision in that regard, i think an expert opinion would guide us properly.
