Facts: X, a Private Limited company wants to shift its registered office from the state of Delhi to the State of orissa. The Company has already filed Form 23 and has published Public Notice in the Newspaper in June 2008. However no further action with regard to notice to Creditors and Petition to CLB has been filed since then. Company wants to complete the process now to have the registered office shifted to the new state.
Query: Is there a time limit for filing CLB petition and issuing notice to Creditors. Can the Company continue with the filing CLB petition and Creditors Notice now after more than 2 years of time gap from the date of issuing Notice in the Newspaper. Or do we need to start the process again from the first step, i.e. Filing of Form 23? please advise on the correct procedure.
