The process of shifting the registered office of an OPC (One Person Company) from one state to another involves several steps and compliance requirements. Here is a general outline of the process:
Board Meeting: The first step is to convene a board meeting of the OPC to approve the shift of registered office from Chattisgarh to Rajasthan. The board members should pass a resolution for the same and authorize a director or any other person to make the necessary applications and filings.
Obtain Director Approval: The authorized person should obtain the approval of all the directors for the shifting of the registered office.
Special Resolution: A special resolution needs to be passed by the members of the OPC at a general meeting, approving the change in the registered office. Notice of this general meeting, along with the proposed resolution, should be sent to all the members, shareholders, and directors of the company as per the provisions of the Companies Act.
Application to Registrar of Companies (RoC): After obtaining the necessary approvals, the OPC needs to file an application with the Registrar of Companies (RoC) in Chattisgarh, along with the required documents. The application should include Form INC-23 (Application for approval to shift the registered office from one state to another) and should be accompanied by the following documents:
a. Copy of the special resolution passed by the members b. Minutes of the general meeting where the resolution was passed c. Copy of the board resolution authorizing the filing of the application d. Altered Memorandum of Association (MOA) reflecting the new registered office address e. Altered Articles of Association (AOA) reflecting the new registered office address
Verification and Confirmation: The RoC will verify the application and documents submitted. If everything is found to be in order, they will issue a verification and confirmation of the shifting of the registered office.
Publication: The OPC is required to publish a notice in a newspaper (in English and a vernacular language) circulating in the district where the registered office is situated and also in the district where the registered office is proposed to be shifted. The notice should mention the change in the registered office address.
Application to RoC Rajasthan: Once the notice is published, the OPC needs to file an application with the RoC in Rajasthan, seeking confirmation of the change in registered office. The application should be accompanied by the following documents:
a. Copy of the verification and confirmation received from the RoC in Chattisgarh b. Copy of the newspaper advertisements
Updated Certificate of Incorporation: Upon receipt of the application, the RoC in Rajasthan will verify the documents and, if satisfied, issue a new Certificate of Incorporation reflecting the change in the registered office address. This confirms the completion of the shifting process.
