* If we want to offer a shares to the public then the first step is to issue a prospectus , so that they know they the reason for offering of shares .
* in case of shelf prospectus company have the right to offer shares to the public , any number of times within a period of one year , but such shares shall belong to the same class which were issued earlier .
* there is no need to issue another prospectus because these are belonging
to the earlier class and information about these shares have already been given in first prospectus .
