Can you please let me know the procedure for the Registration of Share Transfer Deed (Form 7B) for a Pvt Ltd company.

Hi,
Do you mean registration of share transfer.
The transfer deed needs to be filled and signed by the parties. It should be presented to the Company within 2 months from the date that is put within a red colored circle (to recognise practically)
Its actually the date of presentation before the concerned authority which is ROC in this case.
After receiving the duly filled share transfer deed, the company is required to pass a resolution for approval of the transfer.
Necessary endorsement are also required to be made in the share certificates post the approval of the Board.

Yes, it is regarding Registration of Share Transfer only.
Whether presentation to ROC needs to be done physically or requires to file any E-form online?

Dear Mr. Murali,
You are not required to file any form or present share transfer form to ROC. You are simply required to purchase share transfer forms from Stock Exchange/Share broker.

Dear Friend
You need to purchase the share transfer form from stock exchange over this there is already a stamp of Roc.
fil this form, get signed by parties and witness.
submit this form with share certificates to company. In case the BOD approve the trasnfer, that BM date will be the effective date of transfer.

i want to endorse my share transfer deed by RoC is there any provision that transfer deed need to be endorsed by RoC where registered office of company is eastblished.

i have made mistake in the name of the transferee while filing form 7b. this i came to know later on but before the approval in BM. kindly let me know how should I rectify for the same in form 7b.

Sunil Sir, I am total agreed with u, But one qustion has come in mind if puchase 7b blank foam form market which was not stamped by roc and then we fill it by both party by the puchase & Seller and withness also. then it should be need to stamping form roc . how it should be possible to stamping form. actuly I want to know what is the use of 7b form without stamping, which is available in the market

Dear Alka, Form 7 b, if not stamped by the ROC, is not in any case acceptable. The form 7 b has to be used within 2 months in case of Private Limited Companies from the date on which it is stamped and within 1 year in case of public limited companies.
Dear huma, you can just rectify the mistake in Form 7 B, either by using the new Form 7 B or by just putting whitener over the wrongly written name.

Is It Necessary to fill Share transfer form in black pen or any other particular color pen??? and is it also compulsary that to fill it in capital or small alphabet????
