HI DEAR ALL, PLEASE HELP ME TO SOLVE MY FOLLOWING QUERY

SUPPOSE PVT. CO. HELD AGM BUT BEFORE FILING RETURN ONE TRANSFER TAKES PLACE THEN IS IT REQUIRE TO GIVE EFFECT TO THIS TRANSFER IN ANNUAL RETURN.

you have to mentioned the tranfer of shares taken place till agm date.

any transfer take place after that will mentioned in next years a/r

Absolutely perfect answer Hardik.

No Gargi no need to include that transfer in your Annual Return because it has taken place after AGM.

It does not make any difference whether it is a Private or Public company.

Hi Gargi

Annual Return containing the name and address of all persons who, on the date of the company's last AGM ,are members of the company and of the persons who have entered/ceased to be member on or before the date of AGM, and no other entry in Annual return is required to be made.

In short, Annual return containg the informations which happend between two AGM. Filing is only compliance and nothing more. You file the transfer details in next Annual Return.
