a pvt company limited by shares issue share at premium to one of its director which is non resident isthere any restrictions regarding same in companies act or is it chargeable as other source income under income tax act ?
is there any penalty regarding the same in company law ??

dont sure about co. act but as per co. act you can allot share to the foriegn shareholder,
