clear the tax liability, file the return till date and submit the original rc to range superintendent for cancellation,
after getting your request, he will make assessment of previous returns, intimate you and ask you to pay the demand if any, after this he will cancell the registration under intimation to you.
if there is input credit taken against payment of service tax, then it may take some more time, as the same has to be confirmed by "departmental audit" to be conducted at your place to cross examine the books and records of the assessee.

Can my client buy a company which has defualted in paying service tax? If yes, will he have to pay all the service tax dues/liabilities? Is there a way to take over the company without liabilties?

Government has charge over the assets of the company against demad of service tax that stands confirmed agaist the company and transfer of the asset is void until the tax has been paid.
