Hello, The override of memorandum means to act beyond the power given/mentioned in the memorandum of association, In any case company can not do any business or activity which are not authorized by memorandum and articles of association, as it is called “ULTRA VIRUS”. However, in certain cases company can amend the MOA/AOA with the approval of shareholders and in any circumstances company can not act beyond the power of the ACT.
