Section 314- office or place of profit

we are listed company on nse and bse. now, son of our managing director has to be appointed under section 314 of companies act 1956 to place of profit with salary of Rs. 40,000/-. now, his appointment does not fall in sub-section 1 of 314 of companies act since his salary is less than Rs.50,000/-. my question is that whether he can be appointed with retrospective effect from 01.04.2013.
