Where a company allots or agrees to allot any shares or debentures with a view to these being offered for sale to the public, any document by which the offer of sale to the public is made, shall for all purposes be deemed to be a prospectus issued by the company and all the conditions which are applicable for prospectus will be same.

Co.act k acc.agr ye 2 conditions fulfill hoti h to ye mana jaega ki company ne jo securities allot ki h ya agreement kia h securities allot krne ka..vo sale pe ki (means at a discount)
1st condition ye ki securities jo offer kri h public ko sale pe vo allotment k 6 mahine k andar honi chahiye
Nd
2 jb securities offer kri jis din us din jitne amount ki securities offer kri uska pura amount receive nhe hua That means jo consideration mila vo discount krke mila
