section 2 (22) (b) of income tax act

This. section. refer to definition of Dividend , includes any distribution to its share holder by a company debentrures with or without interest and any distribution to its preference share holder's of shares by way of bonus to the extent to which the company possesses accumulated profit , whether capitalised or not
