The procedure is same as we incorporate the Private limited or public limited companies.

Means now there is no additional procedure for getting licence etc.

The proposed Company, at the outset, have to obtain licence from the Central Government (powers were delegated to concerned Regional Director of the region) and then the Company may be incorporated with the Registrar of Companies.
(w.e.f. 18/03/2011 the powers have been delegated to ROC).

Our company having an NGO registered under sec 25 named IKF u can c the details of the same from ROC site

there are three criteria for determining whether a particular company is section 25 company or not:
1) Its objects should be only to promote commerce, art, science, religion, charity or any other useful object.
2) It should intend to apply its profits or other incomes only in promoting its objects; and
3) Central government should have granted a license to such a company recognizing them as such

Dear Abhay,
In respect to above point no. 3 the powers were delegated to Regional Director but now the same have been delegated to ROC by the Central Government. vide its notification dated 18/03/2011.
