Following is the Resolution which might help you:-
"Resolved that, at the __th Annual General Meeting held on __/__/__ , Mr. XYZ, s/o of Mr. ABC, residing at 3, Ajit Society, Hadapsar, 411001, shall be appointed as the Chairman of ___ Ltd, after the consent of all the Members."
