05 October 2011Our Company is loss making Company and our managing director has decided to work on zero remuneration due to cash loss being incurred by the comapny. However, the actual expenses incurred by him shall be reimbursed to him.... can anyone provide me board resolution in dis regard?????????

"Resolved that Mr. XYZ, the Managing Director shall hereby not withdraw any remuneration from the company as the company has incurred cash losses during the previous year."
"Resolved further that Mr. XYZ shall be reimbursed all the expenses by the company, incurred by him (Mr. XYZ) which are incurred towards the business of the company."

"Resolved that Mr ABC, the Director of the Compnay is hereby authorised to as a new signatory to our existing (Type of Account) bearing (Account No. ___ ). He is empowered to take all steps and do all things and give such directions as may be required, necessary, expedient or desirable for giving effect to the transaction entered by the Company".
