Residential place as a registered office of the company

Dear Friends,

If a company is having its registered office in a residential place which is in the name of promoters but they do not reside there and no business activity is being carried out from there. Compnay run their business from it head office which is located at some different place.

In aforesaid condition whether is it legal to have registered office of the company in residential place? can any authority object it ?

Dear Aditya,

 

No need to worry. This is the story of most of the companies in India. First appreciate you can have your registered office at a residential place subject to the rules and regulation of municipality. There is no restriction from company law.

 

Carrying out activity from some other place is also fine.

 

Things you have to understand and manage:

 

  1. Registered office address is official and legal address of the company for shareholders, ROC, Official, Govt. departments and for communication purpose.   
  2. The place of Registered office is used to maintain few statutory documents like statutory registers etc (Kindly see section 163)

 

So somehow you have to maintain registered office address active by putting at least one person here to collect letters etc.

No I  think there is no issue a company  can have registered office any where however local authority may charge it as commercial building further you can treat it as company has taken building on rent from its promoters

Be kind enough to share knowledge in regard that whether the premises having registered office be treated as a commercial building or residential in the eyes of Municipality and other local authority ( power, water etc. ) as the company is not carrying out any business activity from there.
