18 November 2009in case of a pvt. co. : 3 directors : if one is appointed as MD and 1 as ceo on a salary approved at BM : if ther salary is revised every year do we need to pass resolution in BM or a general resolution authorising MD can be passed

As per my suggestion simply pass a board resolution and avoid general authority resolution.

thks , but can i pass a resolution in board meeting authorising MD of the company to fix/vary slary of ceo also director of company

Yes you can pass such resolution authorizing MD. But CEO cum director can not participate in this meeting read with section 299 and 300.
