When an individual is appointed as director not liable to retire by rotation then how this director can be removed from the Board?

Hi,
Any director including WTD or MD may be removed by following the procedure of section 284.
Under section 284 you have to pass an ordinary resolution of shareholders through a general meeting.

Dear Sir,
If in a private company the first director of the company was not liable to retire and there were three directors in that company one not liable to retire and two liable to retire.
But now if the company wants to make that director (who was not liable to retire) retire by rotation what that company has to do???
