Removal of Directors

A Director has not attended the Annual General Meeting of a Public Limited Company for 3 consequtive years and the company removed the same director from his office without giving him any prior notice or intimation regarding his removal by filing Form-32 duly.

The removed director after a period of 6 years of time sent an appeal to the company law board stating that his removal from office was not a valid action by the comapny since he was not given any prior notice or intimation.

The company law board has now issued a notice to the company questioning about the non-issue of any notice or prior intimation to the removed director about his removal.

1. Can a director be removed for not attending annual general meeting and if yes wat is the minimum number of such meeting?

2. Is prior notice to the director regardig his removal from the board necessary before filing of Form 32 and if yes wat is the minimum period before which the notice has to be issued?

3. The concerned director has appealed to the CLB only after 6 yrs. is this action valid?

Pls comment on the above and by quoting the Sections of Companies Act if possible?
